Welcome to EventDesk. These Terms and Conditions ("Terms") govern your access to and use of the EventDesk platform, services, and website (collectively, the "Service"). By accessing or using EventDesk, you agree to be bound by these Terms.
EventDesk is operated by eventdesk.io, a company to be incorporated in Wyoming, USA. Our Service provides event planning and management software for professionals and organizations worldwide.

By creating an account, accessing, or using any part of the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use the Service.
You must be at least 18 years old to use EventDesk. By using the Service, you represent and warrant that you are of legal age to form a binding contract and meet all eligibility requirements.
4.1 Account Creation
You must provide accurate, current, and complete information during registration
You are responsible for maintaining the confidentiality of your account credentials
You must notify us immediately of any unauthorized access to your account
4.2 Account Responsibilities
One account per user (unless part of a team/organization account)
You are responsible for all activities that occur under your account
You may not transfer or sell your account to another party
4.3 Authentication We use Clerk for authentication services. By using EventDesk, you also agree to Clerk's terms of service.
EventDesk is currently in Early Access. During this period:
Features may be added, modified, or removed without prior notice
Service availability and performance may vary
You may experience bugs, errors, or unexpected behavior
Your feedback helps us improve the platform
Early access status does not guarantee future pricing or feature availability
You agree NOT to use the Service to:
Violate any applicable laws or regulations
Infringe upon intellectual property rights of others
Upload or transmit malicious code, viruses, or harmful content
Attempt to gain unauthorized access to any part of the Service
Use automated tools to scrape, mine, or extract data
Harass, abuse, or harm other users
Impersonate any person or entity
Spam or send unsolicited communications through the platform
Use the Service for any illegal or unauthorized purpose
7.1 Your Content
You retain all rights to the data and content you upload to EventDesk
You grant us a limited license to store, process, and display your content solely to provide the Service
You are responsible for maintaining backups of your important data
7.2 Data Storage We use Neon (PostgreSQL) for primary data storage. Your data is stored securely and backed up regularly. See our Privacy Policy for more details.
7.3 Content Removal We reserve the right to remove any content that violates these Terms or applicable laws.
8.1 Current Status EventDesk is currently free during the Early Access period. Pricing plans will be introduced in the future.
8.2 Future Pricing
We will provide advance notice before implementing any paid plans
Early Access users may receive special pricing or features
Once pricing is introduced, continued use constitutes acceptance of those terms
8.3 Payment Processing When pricing is implemented, we will use Stripe for payment processing. You agree to provide accurate payment information and authorize us to charge your payment method.
8.4 Refunds Refund policies will be clearly stated when pricing is introduced.
EventDesk integrates with the following third-party services:
Stripe: Payment processing
Clerk: User authentication and management
Neon: Database hosting
Resend: Email delivery
PostHog: Product analytics
Google Analytics: Website analytics
Your use of these services through EventDesk is subject to their respective terms and privacy policies. We are not responsible for the practices of these third-party services.
10.1 EventDesk Property All rights, title, and interest in the Service, including all software, designs, trademarks, and content (excluding user content), are owned by eventdesk.io.
10.2 License to Use We grant you a limited, non-exclusive, non-transferable license to access and use the Service for your intended purposes, subject to these Terms.
10.3 Restrictions You may not:
Copy, modify, or create derivative works of the Service
Reverse engineer or attempt to extract source code
Remove or alter any proprietary notices
Use EventDesk trademarks without written permission
Your privacy is important to us. Please review our Privacy Policy to understand how we collect, use, and protect your personal information.
GDPR Compliance: For users in the European Union, we comply with GDPR requirements, including:
Lawful basis for data processing
Rights to access, rectification, erasure, and portability

12.1 Service Changes We reserve the right to:
Modify, suspend, or discontinue any part of the Service at any time
Update these Terms with reasonable notice
Change features, pricing, or functionality
12.2 No Warranty of Availability While we strive for high uptime, we do not guarantee uninterrupted access to the Service.
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
13.1 THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.
13.2 WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE.
13.3 OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM (OR $100 IF NO PAYMENT WAS MADE).
13.4 SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR LIMITATIONS OF LIABILITY, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
You agree to indemnify, defend, and hold harmless eventdesk.io, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:
Your use of the Service
Your violation of these Terms
Your violation of any rights of another party
Your content or data
15.1 By You You may terminate your account at any time through account settings or by contacting us.
15.2 By Us We may suspend or terminate your access immediately if:
You violate these Terms
You engage in fraudulent or illegal activity
We are required to do so by law
We discontinue the Service
15.3 Effect of Termination Upon termination:
Your right to use the Service ceases immediately
We may delete your account and data after a reasonable period
You remain liable for any outstanding obligations
16.1 Governing Law These Terms are governed by the laws of the State of Wyoming and the United States, without regard to conflict of law principles.
16.2 Informal Resolution Before filing a claim, please contact us at [email protected] to resolve the dispute informally.
16.3 Binding Arbitration Any disputes that cannot be resolved informally shall be settled by binding arbitration in accordance with the American Arbitration Association rules.
16.4 Class Action Waiver You agree to resolve disputes on an individual basis and waive the right to participate in class actions.
EventDesk is operated from the United States. If you access the Service from outside the United States, you are responsible for compliance with local laws.
EventDesk is not intended for users under 18 years of age. We do not knowingly collect information from children. If you believe a child has provided us with information, please contact us immediately.
By using EventDesk, you consent to receive:
Transactional emails (account notifications, password resets)
Service updates and announcements
Marketing communications (you may opt-out at any time)
We use Resend for email delivery.
We shall not be liable for any failure to perform due to circumstances beyond our reasonable control, including acts of God, war, terrorism, natural disasters, or internet service failures.
If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
These Terms, together with our Privacy Policy, constitute the entire agreement between you and eventdesk.io regarding the Service.
We may update these Terms from time to time. We will notify you of material changes via:

Updates on our website
Continued use after changes constitutes acceptance of the new Terms.
